Terms of Service

These Terms govern your use of Verqen, an AI code-review service operated by German Kosach, the Netherlands ("Verqen", "we", "us"). By creating an account or using the service, you agree to these Terms.
1. The service
Verqen reviews source code (primarily AI-generated, typed code) and returns findings — locations, severities, and explanations. Findings are advisory. The service operates with human oversight: you decide what to act on. Verqen reduces risk but does not guarantee the absence of bugs or vulnerabilities and must not be relied on as the sole gate for safety-critical software.
2. Eligibility and accounts
You must be at least 18 and, if acting for an organization, authorized to bind it. Authentication is via GitHub OAuth (Clerk). You are responsible for activity under your account and for the repositories you connect.
3. Acceptable use
You may only submit code you own or are authorized to review. You agree not to:
- submit code or repositories you have no right to scan;
- attempt to disrupt, overload, reverse-engineer, or circumvent rate limits or security controls of the service;
- use the service to build a competing product by systematic extraction of its outputs.
We may suspend accounts that abuse the service or threaten its integrity.
4. Plans and billing
Paid plans are billed through Stripe on a recurring basis (monthly or annual) and renew automatically until cancelled. Prices are shown at checkout and exclude applicable taxes unless stated. We may change prices with prior notice; changes apply from your next billing period.
5. Cancellation and refunds
- You can cancel at any time from your account or by contacting [email protected]. Cancellation stops future renewals; your access continues until the end of the current paid period, and partial periods are not refunded.
- 14-day money-back: if you are dissatisfied with your first paid subscription, contact us within 14 days of that first charge for a full refund.
- EU consumers retain their statutory 14-day right of withdrawal for digital services, except where you expressly asked us to begin the service immediately and acknowledged that this waives the withdrawal right.
6. Intellectual property
- Your code stays yours. You retain all rights to the code you submit and to the findings generated about it.
- Our service and brand (the Verqen name, website, and commercial platform) are owned by us.
- The Verqen open-core review engine is published separately under the Business Source License 1.1; your use of that public code is governed by that license, not these Terms. See the repository license for details.
7. Disclaimers
The service is provided "as is" and "as available." We disclaim, to the maximum extent permitted by law, all warranties not expressly stated, including merchantability and fitness for a particular purpose. Findings may be incomplete or incorrect; you remain responsible for testing and reviewing your software.
8. Limitation of liability
To the maximum extent permitted by law, Verqen is not liable for indirect, incidental, or consequential damages, or for loss of data, profits, or business. Our total aggregate liability is limited to the amounts you paid for the service in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
9. Indemnity
You agree to indemnify Verqen against claims arising from your breach of these Terms or your submission of code you were not authorized to scan.
10. Termination
You may stop using the service and delete your account at any time. We may suspend or terminate access for breach of these Terms or where required by law. On termination, your right to use the service ends; data deletion follows our Privacy Policy.
11. Governing law
These Terms are governed by the laws of the Netherlands, and disputes are subject to the courts of Amsterdam, without prejudice to mandatory consumer protections in your country of residence.
12. Changes
We may update these Terms; the "Last updated" date reflects the latest version. Material changes will be communicated to account holders. Continued use after changes take effect constitutes acceptance.
