Terms of Service

These Terms govern your use of Verqen, an AI code-review service operated by German Kosach, the United Arab Emirates ("Verqen", "we", "us"). By creating an account or using the service, you agree to these Terms.

1. The service

Verqen is an electronic, fully automated service provided without human involvement. For each order Verqen performs one run of one repository: an automated check of a fixed commit of the repository's default branch against the rule catalog published at /rules. The result is a report of the catalog rules the code triggered — rule, condition, file and line — published as a GitHub Check on that commit. A repeat run is compared with the previous run of the same repository. The same code can yield a different borderline match between runs, so a single new or resolved match is not by itself proof of a code change. The service includes no code changes: Verqen does not fix code, suggest fixes or explain how to change it, and no person reviews your code or the result. The check can miss issues and can report conditions that are not problems in your context; you remain responsible for your software.

2. Scope of a run and who can order

Scope of a run. One run covers a repository with up to 400 source files. Binary files, generated files, lock files and files larger than 256 KB are not counted. A repository above the limit is refused before the run starts and the order stays unused.

Who can order. The service is offered to individuals who live outside Georgia. Residents of Georgia cannot order. By accepting these Terms on the launch screen you confirm that you live outside Georgia.

3. Eligibility and accounts

You must be at least 18 and, if acting for an organization, authorized to bind it. Authentication is via GitHub OAuth (Clerk). You are responsible for activity under your account and for the repositories you connect.

4. Acceptable use

You may only submit code you own or are authorized to review. You agree not to:

• submit code or repositories you have no right to scan;
• attempt to disrupt, overload, reverse-engineer, or circumvent rate limits or security controls of the service;
• use the service to build a competing product by systematic extraction of its outputs.

We may suspend accounts that abuse the service or threaten its integrity.

5. Price and payment

The price is $749 per run. Payment is one-time and made in cash only, at the registered cash register location in Tbilisi, Georgia, against a cash-register receipt of the operator's individual entrepreneur. Bank transfers are not accepted. Nothing renews automatically. Access to the Verqen platform, where offered, is granted for the paid period only.

6. Refunds

• EU consumers retain their statutory 14-day right of withdrawal for digital services, except where you expressly asked us to begin the service immediately and acknowledged that this waives the withdrawal right.
• If a run fails on our side, we repeat it at no charge.

7. Intellectual property

• Your code stays yours. You retain all rights to the code you submit and to the results generated about it.
• Our service and brand (the Verqen name, website, and commercial platform) are owned by us.
• The Verqen open-core review engine is published separately under the Functional Source License 1.1 with the Apache 2.0 future license (FSL-1.1-ALv2); your use of that public code is governed by that license, not these Terms. See the repository license for details.

8. Disclaimers

The service is provided "as is" and "as available." We disclaim, to the maximum extent permitted by law, all warranties not expressly stated, including merchantability and fitness for a particular purpose. The result may be incomplete or incorrect; you remain responsible for testing your software.

9. Limitation of liability

To the maximum extent permitted by law, Verqen is not liable for indirect, incidental, or consequential damages, or for loss of data, profits, or business. Our total aggregate liability is limited to the amounts you paid for the service in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Indemnity

You agree to indemnify Verqen against claims arising from your breach of these Terms or your submission of code you were not authorized to scan.

11. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate access for breach of these Terms or where required by law. On termination, your right to use the service ends; data deletion follows our Privacy Policy.

12. Governing law

These Terms are governed by the laws of Georgia, and disputes are subject to the courts of Tbilisi, without prejudice to mandatory consumer protections in your country of residence.

13. Changes

We may update these Terms; the "Last updated" date reflects the latest version. Material changes will be communicated to account holders. Continued use after changes take effect constitutes acceptance.
